Please read these Terms and Conditions carefully before using the website aloma-cn.com , operated by Dongguan Aloma Industrial Co., Ltd. By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Website.
1. Nature of the Website — Display and Inquiry Only
1.1 The Website is a product showcase and business inquiry platform. Its sole purpose is to present our product range, manufacturing capabilities, and company profile to prospective B2B customers.
1.2 No online transactions are offered. The Website does not display product prices, does not provide an “Add to Cart” or checkout function, and does not accept online payments of any kind.
1.3 Inquiry is not an order. Any inquiry, message, RFQ, or quotation request submitted through the Website, by email, or via any third-party platform is merely a request for information or a request for quotation, and does not constitute a legally binding purchase order or contract under any circumstances.
1.4 No binding contract until written confirmation. A binding sales contract is formed only when all of the following conditions are met:
- (a) we have issued a formal Proforma Invoice (PI) specifying product, quantity, unit price, total amount, payment terms, delivery term (Incoterms® 2020), and validity period; and
- (b) the Customer has confirmed and accepted the PI in writing (including by email); and
- (c) the agreed deposit or full payment has been received by us.
Until all three conditions are satisfied, no contractual relationship regarding the sale of goods exists between the parties.
2. Product Information, Samples, and Accuracy
2.1 We strive to ensure that all product descriptions, specifications, materials, colors, dimensions, weights, images, and other information on the Website are accurate and up to date. However, we do not guarantee that such information is complete, error-free, or current at all times.
2.2 Product images are for reference only. Colors, surface finish, packaging, and minor design details may vary slightly from the actual product due to photography, monitor settings, material batch differences, or product improvements. The actual product shall prevail.
2.3 No prices on the Website. Because we do not display prices, any price communicated to you—whether verbally, by email, in a quotation, or on the PI—is valid only for the validity period stated thereon and may be adjusted based on raw material costs, exchange rates, MOQ, customization requirements, and shipping terms.
2.4 Samples. Sample availability, sample fees, and shipping costs for samples are quoted separately upon request. Unless otherwise agreed in writing, sample fees may be refunded or offset against the Customer’s first bulk order at our sole discretion. The Customer is responsible for sample shipping charges unless otherwise stated.
2.5 Customization and OEM/ODM. For customized products (logo, color, packaging, mold, material, private label, etc.), specifications, mold fees, sampling lead time, and approval process shall be confirmed in writing separately. Once the Customer has approved a pre-production sample (physical or digital), any subsequent change requests may incur additional costs and delays.
3. Quotations, Orders, and Payment
3.1 Quotations are not offers. All quotations, whether oral, written, or submitted via the Website, are invitations to treat and are subject to availability, prior sales, and our final written confirmation. A quotation does not guarantee stock or production capacity.
3.2 Validity. Unless otherwise stated, quotations are valid for 30 days from the date of issuance. After expiry, the quotation shall be deemed withdrawn and a new quotation must be requested.
3.3 Payment terms. Payment terms, including deposit amount (typically 30% of the total order value, or as stated on the PI), balance payment timing, and accepted payment methods, shall be specified in the PI. Production will not commence until the deposit is received in full.
3.4 Late payment. We reserve the right to suspend production, delay shipment, or cancel the order if any payment is overdue, and to charge interest on overdue amounts at a reasonable rate.
3.5 Taxes and duties. Unless explicitly stated, all prices are ex-works (EXW) or as per the agreed Incoterms® 2020. All import duties, taxes, VAT, customs clearance fees, and local delivery charges in the Customer’s country are the sole responsibility of the Customer.
4. Lead Time, Shipping, and Delivery
4.1 Lead time is estimated from the date of receipt of the deposit and final confirmation of all product specifications (including pre-production sample approval where applicable). Lead times are good-faith estimates and are not guaranteed; they may be affected by raw material supply, production capacity, customization, and force majeure events.
4.2 Shipping terms (Incoterms® 2020 such as EXW, FOB, CIF, DAP, etc.) and the port of loading/destination shall be as agreed in the PI.
4.3 Risk and title. Risk of loss or damage to the goods passes to the Customer in accordance with the agreed Incoterms® 2020. Title (ownership) to the goods passes to the Customer upon our receipt of full payment.
4.4 Inspection on arrival. The Customer is responsible for inspecting the goods upon arrival. Any claim for shortage, obvious damage, or non-conformity must be notified to us within 7 days of delivery, accompanied by clear photos/videos and, where applicable, an inspection report from the carrier. Failure to notify within this period constitutes acceptance of the goods.
5. Warranty and Limitation of Liability
5.1 Product warranty. We warrant that our products are free from material and manufacturing defects under normal and intended use for a period of 12 months from the date of delivery (the “Warranty Period”), unless a different period is expressly agreed in writing.
5.2 Exclusions. The warranty does not cover defects or damage arising from:
- (a) misuse, abuse, neglect, improper storage, or improper maintenance;
- (b) normal wear and tear;
- (c) unauthorized repair or alteration;
- (d) use outside the intended purpose or in conditions exceeding the product’s design limits;
- (e) accidents, impacts, or exposure to extreme environments not consistent with the product specifications.
5.3 Remedy. At our sole discretion, our entire liability and your exclusive remedy for any breach of warranty shall be, at no additional cost to you, to repair, replace, or issue a partial/full credit for the defective products, subject to verification of the defect. We reserve the right to inspect the returned products before issuing any remedy.
5.4 No consequential damages. To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, production time, or business opportunities, arising out of or in connection with the use of the Website or the products.
5.5 Maximum liability. Our total aggregate liability towards you for all claims relating to a specific order shall not exceed the total amount actually paid by you for that order.
6. Intellectual Property
6.1 Website content. All content on the Website, including but not limited to text, graphics, logos, brand names, product designs, images, videos, trade dress, and layout, is the property of ALOMA or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.
6.2 No unauthorized use. You may not reproduce, distribute, modify, display, publish, or commercially exploit any content from the Website without our prior written consent. This includes, but is not limited to, copying product images, descriptions, or technical drawings for use on third-party websites or catalogs.
6.3 Limited browsing license. We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Website for your personal or internal business evaluation purposes only.
6.4 Customer-provided materials. If you provide us with designs, logos, artwork, or other materials for customization, you represent and warrant that you have the necessary rights to authorize us to use them for the purpose of manufacturing your order. You shall indemnify us against any third-party intellectual property claim arising from such materials.
7. Export Control and Compliance
7.1 Our products may be subject to export control laws and regulations of the People’s Republic of China and, where applicable, the destination country. We reserve the right to refuse or cancel any order that we reasonably believe would violate any applicable export control, sanctions, or trade restriction laws.
7.2 The Customer is responsible for ensuring that the import of the products is lawful in the destination country and for obtaining any required import licenses, permits, or certifications (including but not limited to CE, FDA, EU RoHS/REACH, or other market-specific compliance documents, where applicable).
8. Third-Party Links and Content
The Website may contain links to third-party websites or services (including social media platforms). Such links are provided for convenience only. We have no control over and assume no responsibility for the content, privacy practices, or availability of any third-party websites. Your use of any third-party website is at your own risk and subject to that party’s terms and privacy policy.
9. Privacy
9.1 We collect and process your personal information (such as name, company, email, phone number, and inquiry content) solely for the purpose of responding to your inquiries, preparing quotations, and communicating with you about your requests.
9.2 We do not sell, rent, or trade your personal information to third parties. For more details, please refer to our Privacy Policy and Cookie Policy, which form an integral part of your use of the Website.
10. Force Majeure
We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, war, riots, terrorism, government actions, export/import restrictions, supply chain disruptions, labor disputes, or failures of third-party carriers. In such cases, performance shall be suspended for the duration of the event, and we shall use reasonable efforts to resume performance as soon as practicable.
11. Governing Law and Dispute Resolution
11.1 These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of laws principles.
11.2 Any dispute arising out of or in connection with these Terms or your use of the Website shall first be settled through friendly consultation between the parties. If consultation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Beijing in accordance with its arbitration rules in effect at the time of application. The arbitral award is final and binding upon both parties.
11.3 Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights.
12. Changes to These Terms
12.1 We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on this page, with the “Last updated” date revised accordingly. Your continued use of the Website after any changes constitutes acceptance of the revised Terms.
12.2 It is your responsibility to review these Terms periodically. If you do not agree to the revised Terms, you must discontinue use of the Website.
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitral tribunal, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
